What is a donation contract and when is it used?
A donation contract (contract de donatie) is a legal agreement through which one party (the donor) voluntarily transfers ownership of a good or asset to another party (the donee) without receiving anything in return. Governed by the Romanian Civil Code (art. 1011-1033), donations are irrevocable acts that require specific legal formalities depending on the type of goods donated. For movable goods (furniture, money, equipment, jewelry), a simple written contract signed by both parties is sufficient. For immovable property (land, buildings), notarization is mandatory. Donation contracts are frequently used for gifts between family members, transfers of assets to children or relatives, charitable contributions to organizations, or business asset transfers. A well-drafted donation contract prevents future disputes about the nature and terms of the transfer.
Key clauses and legal requirements of a donation contract
A valid donation contract must include: full identification of the donor and donee, a detailed description of the donated goods (type, value, condition, identifying features), a clear statement of the donor's intent to transfer ownership gratuitously, the donee's express acceptance of the donation, any conditions or charges attached to the donation (donatie cu sarcina), and the date and signatures of both parties. Romanian law allows the donor to attach obligations to the gift — for example, donating a property with the condition that the donee cares for the donor. If the donee fails to fulfill these obligations, the donation can be revoked. It is important to note that donations between spouses are always revocable during marriage.
